Francisco Prado C.

Francisco Prado´s practice focuses on financial and corporate matters, including securities offerings, capital market transactions, joint ventures, mergers and acquisitions. He has extensive experience in cross-border and restructuring transactions.

Since 2004, he has managed and supervised numerous national and international operations on bank financing operations, complex project financing and syndicated loans. Complementary to his professional advice, Mr. Prado participates on the boards of several commercial companies, such as Hill + Knowlton Strategies SpA, Millward Brown SpA and South-Am Freeze Dry S.A.

As a Partner at Schwencke, he leads the areas of Corporate Law, Mergers and Acquisitions, Capital Markets and Banking and Finance.

-WPP Group, one of the world’s largest conglomerates of marketing, advertising and public relation firms, in a complete corporate restructuration of its group of companies in Chile, including VML, Ogilvy, Grey Global, Hill + Knowlton, JWT, Mindshare, MediaCom, GroupM, Burson Cohn & Wolfe, Spafax, Wunderman and Kantar (2012 – 2016).

-Bookmark, in the negotiation and execution of an strategic alliance agreement with LATAM AIRLINES in order to engage in global media sales for the airline (2018).

-Ideame.com, one of the first Latin-American crowd founding platforms, in the setup of its local structure and incorporation in Chile (2013).

-Esval S.A., in the issuance and placement of the first green corporate bonds issued by a regional company, with Scotiabank acting as placement agent (2019). Additionally, Mr. Prado has advised Esval in all its issuance of bonds in the local market, since 2004.

-J.P. Morgan Securities LLC, Citigroup Global Markets Inc. and Merrill Lynch, Pierce, Fenner & Smith as underwriters in the issuance and placement of international bonds for up to USD 600.000.000 issued by ENAP (2017).

-CAP, the largest steel manufacturer in Chile, in the amendment of its indentures and the repayment of its outstanding bonds (2011, 2013 and 2014).

-Empresas CMPC S.A., in the issuance and placement of corporate bonds under rule “144A”, with JP Morgan Chase acting as placement agent (2005).

-Tres Mares S.A., in the incorporation of Van Drunen Farms as an strategic partner in its subsidiary South Am Freeze Dry S.A., a producer of lyophilized fruit (2019).

-Red Eléctrica Internacional, S.A.U., in the due diligence process and subsequent acquisition of a shareholding in Centinela Transmisión S.A. (Antofagasta Minerals S.A.) (2018).

-XIO Group, in the Chilean end of XIO Group's inaugural investment in the secondary leveraged buyout from Triton Partners of the COMPO EXPERT business, for which a loan was obtained from Commerzbank Aktiengesellschaft and IKB Deutsche Industriebank AG (2015).

-Portal Inmobiliario, one of the most relevant online real estate transaction website in Latin-America, in the due diligence and acquisition by Mercado Libre (2014).

-Instituto del Crédito Oficial (Government of Spain), in the review and execution of the main agreement and the local guaranties in connection with a loan granted to a local construction company (2014).

-BTG Pactual, in the negotiation and execution of a credit facility granted to the shareholders of a main local retailer, to finance its expansion in the region (2012-2013).

-Sumitomo Mitsui Trust International Limited and a BNP Paribas in connection with a secured loan granted, over portfolio loans entered into by Chilean borrowers (2012).

-Royal Bank of Scotland plc, in the negotiation and execution of the local collateral in connection with a global facility granted to the Samsonite Group (2009).
